1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TechWave VoIP ("TechWave," "we," "us," or "our") governing your use of our hosted VoIP services, website, and related products. By creating an account or using our services, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Service Description
TechWave VoIP provides hosted Voice over Internet Protocol (VoIP) services, including but not limited to:
- Cloud-hosted business phone system with call routing, auto attendant, and voicemail
- Concurrent call channels for inbound and outbound calling
- Number porting from existing carriers
- Mobile and desktop softphone applications
- Call recording, analytics, and reporting
- CRM integrations (Salesforce, HubSpot, and others)
- E911 emergency calling services
- U.S.-based customer support
TechWave is a VoIP reseller and provides services using upstream telecommunications carriers and infrastructure partners. Service availability and features may vary.
3. Account Terms
Account Creation
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Responsibility
- You must be at least 18 years of age to use our services
- You must provide a valid business name and contact information
- You are responsible for all usage and charges under your account
- You must notify us immediately of any unauthorized use of your account
4. Pricing, Billing, and Payment
Pricing Structure
Our pricing consists of the following components:
- Seat fee: A flat monthly fee per user seat (not subject to USF)
- Channel fee: A monthly fee per concurrent call channel (subject to USF and applicable taxes)
- E911 fee: $1.00 per seat per month
- Compliance and Administrative Cost Recovery Fee: $2.00 per seat per month
- Federal Universal Service Fund (USF): Applied at the current FCC contribution rate to taxable service charges
- State and local taxes: Vary by jurisdiction and are added to applicable charges
Billing
Services are billed monthly in advance. Your billing cycle begins on the date your service is activated. Invoices are issued on the same date each month. Payment is due upon receipt of invoice.
Payment Methods
We accept payment via credit card, debit card, ACH bank transfer, and check. You authorize TechWave to charge your designated payment method for all fees and charges incurred.
Late Payment
Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend service for accounts that are more than 30 days past due.
5. Service Term and Cancellation
Flexible Terms
TechWave services are available on a month-to-month basis or under 1-year, 3-year, or 5-year term agreements. Longer terms lock in your pricing for the duration of the agreement, protecting you from rate increases. There are no evergreen auto-renewal clauses. At the end of a term agreement, your service continues month-to-month at the then-current rate unless you choose to renew at a new term.
How to Cancel
To cancel your service, contact us via email, phone, or your account dashboard. Provide at least 15 days' notice before your next billing date. Cancellation takes effect at the end of the current billing period.
Effect of Cancellation
- You will retain access to services through the end of your paid billing period
- Phone numbers can be ported to another provider within 30 days of cancellation
- Call recordings and data will be available for download for 30 days after cancellation
- After 30 days, account data will be permanently deleted unless retention is required by law
6. Acceptable Use
You agree not to use TechWave services to:
- Make calls for the purpose of harassment, threats, or abuse
- Transmit unsolicited commercial communications (spam) or robocalls in violation of the TCPA
- Engage in any activity that violates federal, state, or local telecommunications laws
- Interfere with or disrupt our services, servers, or networks
- Attempt to gain unauthorized access to our systems or other customers' accounts
- Use our services for any illegal purpose, including fraud
- Resell or redistribute our services without written authorization
- Generate artificially inflated call volumes to manipulate billing or usage metrics
We reserve the right to suspend or terminate your account for violation of this acceptable use policy, with or without notice.
7. Number Porting
TechWave will facilitate porting of your existing phone numbers at no additional charge. By requesting a port, you authorize TechWave to act as your agent in submitting the port request to your current carrier. You represent that you are the authorized account holder for the numbers being ported.
Under FCC rules, simple ports must be completed within one business day. Complex ports involving multiple numbers or carrier types may take longer. TechWave is not responsible for delays caused by your current provider.
8. E911 Emergency Services
TechWave provides Enhanced 911 (E911) service in compliance with FCC regulations. You acknowledge and agree:
- You must register a valid physical address for each seat that will use E911
- You must update your registered address if you move your VoIP equipment
- E911 may not function during internet or power outages
- E911 calls may be routed to a national emergency call center rather than your local PSAP
- You should maintain an alternative means of reaching 911 (such as a mobile phone)
- TechWave is not liable for any failure of E911 service due to circumstances beyond our control
9. Service Level Agreement
TechWave targets 99.999% uptime for our hosted platform infrastructure. This uptime target does not include:
- Scheduled maintenance windows (communicated at least 48 hours in advance)
- Force majeure events (natural disasters, acts of war, government actions)
- Outages caused by your internet service provider, local network, or equipment
- Issues caused by third-party integrations or services
Service credits for qualifying downtime are available per your service agreement. Contact support to request credits.
10. Intellectual Property
All content on the TechWave website, including text, graphics, logos, icons, images, and software, is the property of TechWave VoIP or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any content on our website without prior written consent.
11. Limitation of Liability
To the maximum extent permitted by law, TechWave VoIP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or related to your use of our services, regardless of the theory of liability.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to TechWave in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless TechWave VoIP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
13. Privacy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
14. Dispute Resolution
Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Sheridan, Wyoming, or remotely via video conference. The arbitrator's decision shall be final and binding.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against TechWave. Claims must be brought in an individual capacity only.
Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws provisions. Any legal action not subject to arbitration shall be filed in the state or federal courts located in Sheridan County, Wyoming.
16. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address on file and posted on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the modified Terms.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, Disclaimer, and any service-specific agreements, constitute the entire agreement between you and TechWave VoIP regarding your use of our services.
